Official Rules


1. Eligibility

One Green Festival Community Award (the ''Award'') is offered for each Green Festival tradeshow to be held in 2015 in New York, Washington DC, Los Angeles, Portland, and San Francisco (each respectively a “Festival City”). Each Award is offered and open only to non-profit 501(c)(3) and similar charitable and philanthropic not for profit organizations who are entering by and on behalf of a local community based non-profit plan, program, or activity located within, or 60 miles of, the city limits of the applicable Festival City (hereinafter referred to as "Entrant"). All others, including, but not limited to, employees of Green Festivals, Inc. and other companies associated with the promotion of the Awards, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Award contest (the “Contest”) is subject to federal, state, and local laws and regulations.

2. Sponsor

Green Festivals, Inc., 191 Lyman Street, Suite 101, Asheville, North Carolina 28801 sponsors the Contest.

3. Agreement to Official Rules

Participation in the Contest constitutes an Entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning an Award is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

4. Contest Period

For each Festival City, the period for submission of Entries (the “Contest Period”) begins and ends as follows:

Entries that are submitted before or after the applicable Contest Period will be disqualified. Submissions will be accepted for the duration of each Contest Period only through use of a submission form available on the Green Festival website, The Sponsor’s computer/server that is used to accept the Entries will be the official time keeping device for the Contest.

5. How to Enter

An eligible organization may enter the Contest by completing and submitting a submission form available on the Green Festival website, In completing the form, the Entrant should present its green ideas in a firm action plan that describes how an Award would be used by the organization and how the use would advance and support the goals of the green community.

Limit one (1) entry per organization. Entries received from any organization in excess of the stated limitation will be void. All entries become the property of Sponsor and will not be acknowledged or returned.

By submitting an Entry, an Entrant represents and warrants that its Entry is an original work that does not infringe on any copyright, trademark, property rights, rights of privacy or publicity of any person, or any other right of any third party and Entrant has the full and unrestricted right to transfer and submit the Entry to Sponsor, free and clear of any claims or encumbrances.

6. Procedure for Making the Award

After the end of a Contest Period and before the start of the applicable Green Festival, the Sponsor will select five finalists for the Award based upon the submissions of the Entrants. The selection criteria, applied in the sole discretion of the Sponsor, will be which submissions best propose a use of the Award which is innovative, practical and supportive of the goals of the green community. Those five finalists will be identified on the Green Festival website and will be invited to promote their proposed use of the Award at the applicable Green Festival. Then, during a designated time period after the start of the Green Festival, each attendee of the Green Festival may vote for the finalist believed to be most deserving of the Award through a balloting system to be established and publicized by the Sponsor. After the cutoff for the voting, the Sponsor will tally the votes and make the Award to the finalist with the largest number of votes. The Sponsor will announce the winner on the Sunday afternoon of the applicable Green Festival. The Sponsor will mail or otherwise deliver the Award check to the winner within 14 (fourteen) business days of the Award announcement if the check is not presented to the winner at the time of the announcement. The odds of being selected depend on the number of entries received and the quality and appeal of the competing entries.

7. Winner Notification

The Award winner will be notified in person at each event in “Festival City”, or by email, mail or phone. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. In the event that a potential winner is disqualified for any reason, Sponsor will make the Award to the finalist with the next highest vote total.

8. The Awards

A $5,000 award grant for each 2015 Green Festival. In addition to the Award, the winning organizations will be given the opportunity to share on the Green Festival website their plans for use of the Award. By accepting an Award, the organization commits, contracts, and agrees to use the Award as proposed in the organization’s entry.

9. General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Contest without making an Award. The Sponsor reserves the right in its sole discretion to disqualify any organization it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorneys fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

By accepting an award, the winning organization grants, licenses, and conveys to Sponsor the right, world-wide and perpetual, to use the winning entry in any manner related to the Contest or the Green Festivals tradeshows without prior notice, approval or additional compensation; and (ii) publicize its name, photographs (including the use and appearance of the organization’s officers, directors, agents, employees, and members who were involved in the submission of the entry and acceptance of the award), the submission, historical information regarding the organization, the organization’s contact information, the identity and contact information of its officers, directors, agents, employees, and members who were involved in the submission of the entry and acceptance of the award, and the intended use of the award for purposes of this and future promotions without further documentation, rights, or any compensation other than the award. The publicity rights granted to Sponsor specifically include all of the publicity referenced in the announcement and other information provided with respect to the Contest.

Sponsor reserves the right to cancel, suspend or terminate this Contest, or any part thereof at any time for any reason. All prize details will be at Sponsor’s sole discretion.

The Award benefits are exemplary and do not entitle the winning organization to any other rights or compensation.

10. Release and Limitations of Liability

By participating in the Contest, Entrants agree to release and hold harmless the Sponsor, and each of its parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of its respective officers, directors, employees, shareholders, representatives, and agents (the Released Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the Award (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) lost, late, incomplete, garbled, illegible, undelivered, stolen, damaged, delayed, entries and application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and the incorrect downloading of the application, the processing of entries, application downloads, the tallying of votes, or in any Contest-related materials; (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrants’ participation in the Contest or acceptance, receipt or misuse of the Award (including any travel or activity related thereto); or any use of the entry or information provided in connection with the entry. Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Entrant be entitled to receive attorney’s fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

11. Disputes

Except where prohibited, each Entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any Award shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Georgia. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Georgia, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than Georgia.

12. Privacy

Information collected from entrants will be used by the Sponsor only for purposes of the Contest in accordance with Sponsor’s privacy policy.

13. Winner List

To request the name of the winner(s), send a self-addressed, stamped envelope to Green Festivals, Inc., 191 Lyman Street, Suite 101, Asheville, North Carolina 28802. Winner List requests will only be accepted beginning at the time of the applicable Award and continuing for thirty (30) days thereafter.
